1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website operated by 101 AUTOTECH ("101 AUTOTECH," "we," "us," or "our") (the "Site"). By accessing or using the Site, submitting a Request for Quote ("RFQ"), or otherwise interacting with the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Description of the Site and Our Role

101 AUTOTECH operates an industry alliance platform that showcases automotive parts and components produced by independent member companies ("Member Companies"). The Site is informational and referral-based in nature:

  • No transactions occur on the Site. The Site does not process payments, does not include a shopping cart or checkout function, and does not display final transaction prices.
  • 101 AUTOTECH is a referral intermediary, not a seller. We do not manufacture, sell, own, or hold title to any products displayed or referenced on the Site.
  • RFQs are inquiries, not orders. When you submit an RFQ, you are expressing interest in learning more about a product, obtaining pricing information, or discussing a potential purchase. Submitting an RFQ does not create an order, a purchase agreement, or any binding contract between you and 101 AUTOTECH or any Member Company.
  • Member Companies handle the actual transaction. Any quotation, pricing discussion, negotiation, purchase order, contract formation, payment, invoicing, shipping, delivery, and after-sales service (including warranty and returns) occurs directly between you and the relevant Member Company, under terms agreed between you and that Member Company. 101 AUTOTECH is not a party to, and assumes no responsibility or liability for, any such transaction.

3. Request for Quote (RFQ) Process

3.1 Submitting an RFQ

By submitting an RFQ through the Site, you represent that:

  • You are submitting the inquiry on behalf of a genuine business seeking information about the relevant products;
  • The information you provide (including company name, contact details, and product/quantity interest) is accurate and not misleading; and
  • You authorize 101 AUTOTECH to forward your RFQ and the associated information to one or more Member Companies that 101 AUTOTECH determines may be able to respond to your inquiry.

3.2 No Guarantee of Response or Terms

101 AUTOTECH makes reasonable efforts to route RFQs to appropriate Member Companies but does not guarantee that any Member Company will respond, that any response will occur within a particular timeframe, or that any specific pricing, availability, lead time, or minimum order quantity will be offered. All such terms are determined solely by the responding Member Company.

3.3 No Agency or Partnership Created

Submission of an RFQ, and 101 AUTOTECH's referral of that RFQ, does not create any agency, partnership, joint venture, or employment relationship between you, 101 AUTOTECH, and any Member Company.

4. Product Information

Product descriptions, specifications, images, and related content on the Site are provided by or on behalf of Member Companies and are intended for general informational purposes. 101 AUTOTECH does not independently verify, warrant, or guarantee the accuracy, completeness, or fitness for a particular purpose of such information. Specifications, fitment, availability, and compliance should be confirmed directly with the relevant Member Company before making any purchasing decision.

5. No Prices Displayed; No Offer to Sell

Nothing on the Site constitutes an offer to sell any product at any stated price, because no prices are displayed on the Site. Any pricing information is communicated only directly between you and a Member Company outside of the Site, following your RFQ submission.

6. Third-Party Services

The Site is built and operated using third-party platforms and applications, including Shopify and various Shopify apps and integrated third-party services. Your use of features provided by these third parties may also be subject to their own terms and policies. 101 AUTOTECH is not responsible for the acts or omissions of these third-party service providers.

7. AI and Automated Access

101 AUTOTECH intentionally permits AI agents, crawlers, and other automated tools to access certain public content on the Site through mechanisms such as robots.txt, an llms.txt file, open product data feeds, and structured data (e.g., JSON-LD). Publicly available content on the Site may accordingly be accessed, indexed, summarized, or referenced by AI systems and other automated tools. Use of the Site by automated tools is subject to these Terms to the same extent as use by human visitors, where applicable.

8. Intellectual Property

All content on the Site, including text, graphics, logos, trademarks, and layout (excluding Member Company product content and trademarks, which remain the property of their respective owners), is owned by or licensed to 101 AUTOTECH and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from the Site's content without prior written permission, except as necessary for normal browsing and legitimate automated access described in Section 7.

9. Acceptable Use

You agree not to:

  • Submit false, fraudulent, or misleading information in an RFQ or contact form;
  • Use the Site to solicit Member Companies for purposes unrelated to legitimate business inquiries;
  • Interfere with or disrupt the operation, security, or integrity of the Site;
  • Use the Site in violation of applicable law.

10. Disclaimer of Warranties

THE SITE AND ALL CONTENT PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. 101 AUTOTECH DOES NOT WARRANT THAT ANY MEMBER COMPANY WILL RESPOND TO AN RFQ OR THAT ANY PRODUCT INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 101 AUTOTECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, YOUR SUBMISSION OF AN RFQ, OR ANY TRANSACTION, DISPUTE, OR COMMUNICATION BETWEEN YOU AND A MEMBER COMPANY. BECAUSE 101 AUTOTECH IS NOT A PARTY TO ANY TRANSACTION BETWEEN YOU AND A MEMBER COMPANY, 101 AUTOTECH BEARS NO RESPONSIBILITY OR LIABILITY FOR THE PERFORMANCE, QUALITY, DELIVERY, PAYMENT, OR ANY OTHER ASPECT OF SUCH TRANSACTIONS.

12. Indemnification

You agree to indemnify and hold harmless 101 AUTOTECH, its officers, employees, and affiliates from any claims, damages, losses, or expenses arising from your misuse of the Site, your breach of these Terms, or any transaction or dispute between you and a Member Company.

13. Governing Law and Dispute Resolution
